These Terms of Use are provided in English for convenience. In the event of any discrepancy between the French version and this English version, the French version shall prevail.
Preamble
Yelinka is an online service (SaaS) published and operated by Vincent Hooge, sole proprietor / self-employed entrepreneur, whose full details are provided in the Legal Notice available on the website.
Yelinka is intended for artists, bands and music project owners. It allows them to create a professional public presskit, receive and manage booking requests, organize concerts and opportunities, manage certain information related to lineup and declared member availability, and store the content, media and information necessary for the operation of the Service.
These Terms of Use (the “Terms”) define the conditions under which users access and use the Yelinka service. They apply to any access to the Service, whether free or paid.
The General Terms and Conditions of Sale applicable to purchases in currency and subscriptions constitute a separate document, available from the application and the website. The Privacy Policy also constitutes a separate document.
Article 1 — Definitions
Yelinka means the SaaS service accessible at https://www.yelinka.com, published by Vincent Hooge.
User means any natural or legal person accessing the Yelinka service, in any capacity, including as a solo artist, band, music project owner, invited member or external organizer submitting a booking request via a public presskit.
Account means the personal area created by the user to access the Service’s features.
Music project means the artistic entity — solo artist or band — managed by the user in Yelinka.
Presskit means the public page created by the user in Yelinka, intended to present their music project to organizers, bookers or any other interested party.
Content and media means all texts, images, media, files and information entered, stored or published by the user in Yelinka as part of the operation of the Service.
credits means Yelinka’s internal virtual credits, usable only within the Service to activate, consume or unlock certain internal actions, features or products when this option is offered.
Subscription means recurring access to the Service’s features and quotas, subscribed to according to the offers available in the application.
User Content means any text, image, media, file or information entered, published or stored by the user in Yelinka.
Article 2 — Acceptance of the Terms
Access to the Yelinka Service implies full and unconditional acceptance of these Terms.
The user accepts the Terms when creating their account, through a positive and unambiguous action.
If the user does not accept these Terms, they must refrain from using the Service.
Yelinka reserves the right to modify these Terms at any time. Users will be informed of any substantial change by any appropriate means, including an in-app notification or email. Continued use of the Service after notification constitutes acceptance of the modified Terms.
Article 3 — Access to the Service
The user is responsible for having equipment, a browser and an internet connection compatible with the use of the Service.
3.1 Account creation
Access to the Service requires the creation of an account. The user must provide accurate, complete and up-to-date information when creating their account and undertakes to keep this information up to date throughout their use of the Service.
The user is solely responsible for the confidentiality of their login credentials. Any use of the Service with their credentials is presumed to have been carried out by the user.
In the event of loss, theft or unauthorized use of their credentials, the user must inform Yelinka without delay.
3.2 Conditions of access
The Service is accessible to legally capable adult individuals and to legal entities represented by an authorized person.
The user guarantees that the information provided when creating the account is accurate and does not infringe the rights of third parties.
3.3 Availability of the Service
Yelinka makes reasonable efforts to ensure the availability of the Service. However, interruptions may occur, including for maintenance, updates, technical incidents or external causes beyond Yelinka’s control.
Yelinka does not guarantee uninterrupted or error-free availability of the Service. Access to the Service may be temporarily suspended without notice in the event of technical or security necessity.
Article 4 — Nature and limits of the Service
4.1 What Yelinka allows
Yelinka is a management and structuring tool intended for artists and music projects. It allows users in particular to:
- create and publish a professional public presskit;
- receive booking requests via public presskit pages;
- manage certain exchanges related to booking requests;
- organize and track concerts and opportunities;
- manage certain operational information related to concerts;
- manage lineup and declared member availability;
- store the content, media and information necessary for the presskit, booking and concert organization;
- purchase credits and use them to activate, consume or unlock certain internal features, actions or products when this option is offered;
- subscribe to plans giving access to features and quotas.
4.2 What Yelinka is not
Yelinka is not and does not present itself as:
- a commercial matchmaking platform;
- an artist marketplace;
- an artist agent or producer;
- an event organizer;
- a guarantor of bookings concluded between users;
- a payment service for artist fees between artists and organizers;
- an advanced CRM or marketing automation tool;
- a service guaranteeing visibility, concerts or revenue.
Yelinka only provides a technical tool enabling artists and bands to structure their public presence, receive booking requests via their own public pages and organize the follow-up of their opportunities. Yelinka does not select, recommend or actively connect artists with organizers.
Article 5 — Public presskit
5.1 Creation and publication
The user may create a public presskit linked to their music project, according to the features and limits available in their plan.
The presskit may include in particular: artist or band name, biography, photos, videos, music links, contact or booking information, availability information and, where provided by the user, certain legal information relating to the publisher of the presskit.
The presskit may be public, accessible on the internet, shared by link and potentially indexed by search engines.
The user freely chooses the information they make public and is solely responsible for the content they publish.
5.2 Legal information of the presskit
The user may enter legal information in their presskit, including publisher, legal contact, address, phone number, SIREN / RCS / VAT number and publication director, where such information is applicable to their activity.
This information does not necessarily condition the publication of the presskit, but its absence or incompleteness may trigger a warning in the application.
The user is responsible for entering accurate and up-to-date information enabling the display of the legal information of their presskit where such information is applicable to their activity.
Yelinka does not verify the accuracy, completeness or currency of the legal information entered by the user.
5.3 Hosting and removal of content
Yelinka may display, host and distribute presskit content only as part of the provision of the Service.
Yelinka reserves the right to remove without prior notice any content that is manifestly unlawful or non-compliant with these Terms.
Article 6 — User Content and stored media
6.1 Ownership of content
Content published or stored by the user in Yelinka remains the property of the user or of its respective rights holders.
6.2 License granted to Yelinka
By publishing or storing content in Yelinka, the user grants Yelinka a non-exclusive, limited, free and worldwide license to host, store, display, technically reproduce and distribute such content strictly as part of the provision of the Service.
This license is granted only for the following purposes: public display of the presskit, sharing with a booker, organizer or project team, private management in the application, organization of information related to the presskit, concerts or booking, and technical operation of the Service.
6.3 User warranties
The user guarantees that they:
- have all necessary rights to the content published or stored;
- have all required authorizations, including image rights, copyright and neighboring rights;
- ensure that published content does not infringe third-party rights;
- ensure that published content is not unlawful, hateful, defamatory, misleading or contrary to the law or to these Terms.
6.4 Storage space
The available storage space may depend on the subscribed plan, the associated quotas and the technical or commercial limits defined in the applicable offer.
Article 7 — Booking and relationships between users
Yelinka allows users to receive and manage booking requests.
Yelinka does not intervene in the negotiation, conclusion or performance of agreements between users. Yelinka is not a party to agreements concluded between artists and organizers.
Yelinka does not validate organizers or artists. Yelinka does not guarantee that a concert will take place, that an artist fee will be paid, or that any other financial or contractual obligation between the parties will be fulfilled.
Users remain solely responsible for the financial, contractual, tax, social and operational conditions of their respective commitments.
Article 8 — Concert organization and availability
Yelinka allows users to organize concerts and manage certain operational information, including date, venue, status, organizational information, relevant lineup, declared member availability and history according to the subscribed plan.
This information is declarative and remains under the sole responsibility of the user.
Yelinka does not guarantee the accuracy of the information entered by users, nor the actual availability of members indicated in the application.
Article 9 — credits
9.1 Nature of credits
credits are Yelinka’s internal virtual credits. They are internal virtual units and do not constitute electronic money or an external payment instrument. credits may only be used within Yelinka.
credits:
- are not convertible into money;
- are not transferable between users;
- are attached to the user account;
- are non-refundable, except where required by law or in the event of a proven error by Yelinka.
9.2 Origins of credits
credits may have several origins:
- Purchased Coins: acquired by the user in currency via Stripe. They remain available in the user’s wallet and do not expire.
- Welcome Coins: granted by Yelinka upon registration. They remain available in the user’s wallet.
- Granted Coins: granted by Yelinka for promotional or other purposes. They may be subject to specific conditions specified at the time they are granted.
- Monthly Coins included in a Subscription: allocated at each billing period as part of certain subscriptions. They are renewed each period and do not roll over from one period to the next.
9.3 Order of consumption of credits
When credits are used, Yelinka consumes credits in the following order:
- monthly credits included in the current subscription;
- credits granted by Yelinka;
- welcome credits;
- purchased credits.
9.4 Use of credits
The use of credits to activate, consume or unlock a product, action or internal feature constitutes an internal transaction resulting in the immediate debit of the user’s wallet.
These transactions are final and non-refundable, except where required by law or in the event of a proven error by Yelinka.
The use of credits does not constitute a payment in currency and does not generate a Stripe transaction.
Article 10 — Internal features and products
10.1 Internal features or products
Yelinka may offer certain internal features, actions or products usable in the application, depending on the features actually available.
Access may be obtained by purchase in currency via Stripe or by use of credits, where these methods are available and the required conditions are met.
The user is informed of the applicable conditions before any order, subscription or use of credits.
10.2 Applicable commercial terms
The commercial terms applicable to purchases in currency, subscriptions, credits and any paid internal features or products are specified in the Terms of Sale.
Article 11 — Prohibited behavior
The user undertakes not to:
- publish, store or distribute unlawful, hateful, defamatory, violent, obscene, misleading content or content infringing third-party rights;
- impersonate a third party or provide false information when creating or updating their account;
- use the Service for purposes contrary to its intended purpose, including unsolicited marketing, spam or data collection activities;
- attempt to circumvent the technical protection or security measures of the Service;
- access the Service by unauthorized automated means;
- resell, redistribute or make available to third parties access to the Service or purchased internal products, except with Yelinka’s express authorization;
- use the Service in a way that may affect the availability, integrity or security of the Service or of other users’ data.
Article 12 — Suspension and account termination
12.1 Termination at the user’s initiative
The user may request deletion of their account at any time, from the application settings or by contacting Yelinka.
Account deletion terminates access to the Service. It takes into account legal data retention obligations, including billing data and histories necessary for contractual evidence.
Account deletion may result in the loss of access to features, content, histories, media or credits attached to the account. Where purchased credits remain available, their treatment is handled in accordance with the Terms of Sale, applicable rules and any legal obligations.
Termination of an ongoing subscription does not give rise to a refund for the period already started, except where required by law. The conditions for cancelling subscriptions are specified in the Terms of Sale.
12.2 Suspension or termination at Yelinka’s initiative
Yelinka reserves the right to suspend access to an account, remove content, block access or terminate an account, without prior notice or compensation, including in the event of:
- breach of these Terms;
- publication of unlawful content or content contrary to these Terms;
- attempted fraud or circumvention of the Service;
- abuse of the Service or breach of its security;
- non-payment of an amount due;
- use contrary to the purpose of the Service.
Yelinka will inform the user, where possible, of the measure taken and its reasons, unless prior notification would compromise the security of the Service or of other users.
Article 13 — Liability
13.1 Yelinka’s liability
Yelinka undertakes to use reasonable means to ensure the availability, continuity and quality of the Service.
Yelinka does not guarantee:
- any artistic, commercial or operational result;
- the completion of bookings or concerts;
- the visibility or revenue of the user;
- the accuracy of information entered by users.
Yelinka’s liability may only be incurred in the event of proven fault and is limited to direct damages suffered by the user, within the limit of the amounts paid by the user to Yelinka during the twelve months preceding the triggering event, except where required otherwise by law.
Yelinka may not be held liable for indirect damages, including loss of opportunity, loss of revenue, loss of booking, damage to reputation or loss of data not directly attributable to Yelinka.
Yelinka is not responsible for content published by users, agreements concluded between users, or the consequences of interruptions, maintenance, errors or technical failures.
Yelinka depends on third-party providers, including Stripe for payments and its hosting provider for infrastructure. Yelinka may not be held liable for failures attributable to such providers.
13.2 User liability
The user is solely responsible for:
- the content they publish or store in Yelinka;
- the information they enter in their account and presskit;
- agreements concluded with organizers, bookers or third parties via Yelinka;
- contractual, tax, social and legal obligations related to their artistic activity.
Article 14 — Intellectual property
Yelinka and all of its components — trademark, logo, interface, code, design, texts, features and any other element forming part of the Service — are the exclusive property of the publisher or its licensors and are protected by applicable intellectual property laws.
Any reproduction, representation, modification, adaptation, translation or exploitation, in whole or in part, of the Service or its components, by any means whatsoever, without Yelinka’s prior written authorization, is strictly prohibited.
Content published by the user remains their property, in accordance with Article 6 of these Terms.
Article 15 — Personal data
Yelinka collects and processes personal data as part of the provision of the Service. These processing operations are governed by Yelinka’s Privacy Policy, available from the application and the website.
The user is invited to consult the Privacy Policy to learn about the data collected, the purposes of processing, the applicable legal bases, retention periods and the rights available to them.
Article 16 — Cookies and audience measurement
Yelinka may use cookies, trackers and similar technologies, in particular for audience measurement, product analytics, security or the proper operation of the Service.
The use of cookies, trackers and audience measurement tools is described in Yelinka’s Privacy Policy, available from the application and the website.
Article 17 — Hyperlinks
Yelinka may contain links to third-party websites. These links are provided for information purposes only. Yelinka does not control these websites and is not responsible for their content, practices or privacy policies.
Article 18 — Changes to the Service
Yelinka reserves the right to modify, interrupt or evolve all or part of the Service at any time, in particular for technical, commercial or legal reasons.
In the event of a substantial change affecting features available to the user, Yelinka will make reasonable efforts to inform users within a reasonable time.
Changes substantially affecting an ongoing paid offer will be handled in accordance with the Terms of Sale and the information communicated to the user.
Article 18 bis — Evidence agreement
Electronic exchanges, usage logs, consent records, operations performed in the Service and data stored in Yelinka systems may be used as evidence between the parties, unless proven otherwise.
The user acknowledges that their actions within the interface, including clicks, validations, confirmations, payments and acceptances, may constitute valid proof of their commitments and actions.
Article 19 — Governing law and competent courts
These Terms are governed by French law.
In the event of a dispute relating to the interpretation or performance of these Terms, the parties will first seek an amicable solution.
Failing amicable resolution, the dispute will be submitted to the competent courts under the ordinary rules of law.
Where the user acts as a consumer, they may use a consumer mediator free of charge under the conditions provided by the French Consumer Code. Where the dispute relates to a purchase or subscription, the applicable mediation terms and the contact details of the consumer mediator designated by Yelinka are specified in the Terms of Sale.
Article 20 — Miscellaneous provisions
20.1 Entire agreement
These Terms, read together with the Terms of Sale and the Privacy Policy, constitute the entire agreement between Yelinka and the user and supersede any prior agreement relating to their subject matter.
20.2 Severability
If any provision of these Terms is declared null or unenforceable, the other provisions shall remain in force.
20.3 No waiver
Yelinka’s failure to invoke a breach by the user of any of the obligations set out in these Terms shall not be interpreted as a waiver of the right to invoke a subsequent breach of the same nature.
