General Terms and Conditions of Sale — Yelinka

These Terms of Sale are drafted in French. This English version is provided for convenience. In the event of any discrepancy between the French version and this English version, the French version shall prevail.
Preamble
These General Terms and Conditions of Sale (the “Terms of Sale”) govern purchases, subscriptions and commercial transactions carried out by users on the Yelinka platform, available online at https://www.yelinka.com (the “Service”).
Yelinka is published by Vincent Hooge, sole proprietor / self-employed entrepreneur, whose full details are provided in Article 2 of these Terms of Sale and in the Service’s Legal Notice.
Any purchase or subscription made on Yelinka implies full and unconditional acceptance of these Terms of Sale. They apply to the exclusion of any other terms, unless otherwise agreed in writing between the parties.
These Terms of Sale apply to the relationship between Yelinka and any user acting as a consumer or as a professional.
Article 1 — Purpose
The purpose of these Terms of Sale is to define the conditions under which Yelinka provides users with:
- subscriptions giving access to features and quotas within the Service;
- credits, internal credits usable within the Service;
- paid internal features or actions that can be activated within the Service, where offered;
- digital products strictly related to the use of the Service, where actually offered.
Yelinka is a tool enabling artists and bands to create a public presskit, receive concert requests, manage certain booking-related exchanges, organize their concerts and manage their lineup as well as declared member availability.

Article 3 — Description of offers, products and services
3.1 Subscriptions
Yelinka offers recurring subscriptions giving access to features and quotas defined according to the subscribed plan.
The characteristics, features, limits, prices and billing frequencies of the available offers are presented in the Service at the time of subscription.
Subscriptions may be offered on a monthly or annual basis depending on the available options.
3.2 credits
credits are internal credits specific to Yelinka. They allow users to activate, consume or unlock certain actions, features or internal products within the Service when this option is offered.
credits:
- are internal virtual units within Yelinka;
- do not constitute electronic money or an external payment instrument;
- are not convertible into real money;
- are not transferable between users;
- are attached to the user account;
- may only be used within Yelinka.
credits may have several origins: credits purchased by the user, welcome credits granted when the account is created, credits granted by Yelinka, and monthly credits included in certain subscriptions.
The rules regarding retention, expiry, allocation and consumption of credits vary depending on their origin and are specified in Article 7.
3.3 Paid internal features or products
Yelinka may offer certain internal features, actions or products accessible through purchase in currency or through the use of credits.
These elements may only be used within the framework of the Service, according to the features actually available at the time of purchase or use.
The user is informed of the applicable conditions before any order, subscription or use of credits.
Article 4 — Access and payment methods
4.1 Access by purchase in currency
Purchases in currency are processed via Stripe or any equivalent payment provider.
Yelinka does not store users’ full bank card details. Payment and billing information is collected directly and securely by Stripe or by the applicable payment provider.
Purchases in currency may concern in particular:
- the subscription or renewal of a subscription;
- the purchase of credits;
- the purchase of an internal feature, action or product where this option is offered.
4.2 Access by use of credits
Certain internal products, features or actions may be activated, consumed or unlocked using credits available in the user’s wallet.
The use of credits corresponds to an internal transaction and results in an immediate debit from the wallet. It does not constitute a new payment in currency and does not trigger a new Stripe payment.
The use of credits is final and non-refundable, except where required by law or in the event of a proven error.
Article 5 — Prices, currencies, VAT and billing
5.1 Applicable prices
The applicable price is the price displayed to the user at the time of the order or subscription within the Service.
The contractual currency is the currency displayed and confirmed at the time of payment via Stripe or any equivalent provider.
Prices may vary depending on the currency, market area, offer, product, service or applicable taxes.
In the event of a discrepancy between a price displayed in the application and the price confirmed in Stripe at the time of payment, the price validated in Stripe shall prevail.
Yelinka may modify its prices. Price changes applicable to ongoing subscriptions are communicated to the user before they take effect and apply only to future periods. The user may cancel their subscription before the new price takes effect, according to the conditions available in the Service.
5.2 Currencies and market areas
Yelinka may adapt certain settings according to the market area entered or inferred for the user, including the currency offered or displayed, distance units, certain default values in forms, or certain booking or organization settings.
Prices may be offered in several currencies, including euros (EUR) or US dollars (USD), depending on the area, offer or applicable Stripe configuration.
Any conversions or equivalents displayed for information purposes do not constitute a contractual commitment if they do not correspond to the currency actually charged.
credits are not a currency. They are internal credits usable only within Yelinka. Their use must not be treated as a payment in real money.
5.3 VAT
VAT not applicable, Article 293 B of the French General Tax Code.
Prices are indicated inclusive of taxes where applicable according to Yelinka’s current tax status.
The VAT notice displayed depends on Yelinka’s tax status and on the configuration applicable at the time of the purchase in currency. It does not apply to each subsequent use of credits already available in the wallet.
If Yelinka’s tax status changes or if a different international tax management system becomes applicable, prices, invoices and these Terms of Sale may be adapted accordingly.
5.4 Billing
An invoice or payment receipt is generated or made available for any purchase in currency, including the purchase of credits, the subscription to a plan, or the direct purchase of an internal product or service where this option is offered.
The subsequent use of credits already available in the wallet does not constitute a new payment in currency. It therefore does not necessarily generate a new invoice in currency.
The invoice or payment receipt concerns the initial purchase in currency or the subscription where applicable, and not each internal use of credits.
Article 6 — Subscriptions
6.1 Subscription
The user subscribes to a plan by selecting the corresponding plan in the Service.
Before any payment, the user is invited to:
- review the summary of the selected subscription;
- accept these Terms of Sale;
- authorize the recurring charge for their subscription.
This acceptance is collected through a mandatory, unchecked checkbox. The confirmation button is disabled until this checkbox is checked.
The user is then redirected to Stripe to enter their billing information and finalize payment.
6.2 Automatic renewal
Subscriptions are automatically renewed at each due date of the chosen billing period, unless previously cancelled by the user under the conditions set out in Article 6.4.
The user is informed of the recurring nature of the subscription before confirming the subscription.
6.3 Upgrade and downgrade
In the event of an upgrade with the same billing frequency:
- the new offer may become active immediately after confirmation;
- Stripe calculates the amount due on a prorated basis for the remaining billing period;
- the amount charged immediately is displayed before confirmation;
- the current billing period is retained, unless otherwise indicated at the time of the action;
- the next invoice date remains unchanged, unless otherwise indicated at the time of the action;
- the rights, quotas and features of the new offer apply after confirmation;
- no existing data is deleted.
In the event of a downgrade with the same billing frequency:
- the change takes effect at the end of the current billing period;
- the current plan remains active until the next due date;
- the limitations of the lower plan apply from the following period;
- no immediate refund of the difference is due, except in the event of valid exercise of a legal right, proven error, legal obligation to the contrary, or contrary indication displayed.
In the event of a change in billing frequency:
- certain transitions may not be available in the interface;
- certain transitions may be refused or scheduled at the end of the period;
- the applicable terms, including the amount charged immediately, the new recurring price and the next billing date, are displayed before confirmation when the action is offered.
6.4 Cancellation
The user may cancel their subscription at any time from their account area in the Service or by contacting Yelinka.
Cancellation takes effect at the end of the current billing period. Access to the features of the subscribed plan is maintained until that date.
No refund is made for the billing period already started, except in the event of valid exercise of a legal right of withdrawal, proven error or legal obligation to the contrary.
6.5 Payment failure
In the event of payment failure upon renewal, Yelinka reserves the right to suspend, restrict or downgrade access to the features of the subscribed plan until the situation is regularized.
6.6 credits included in a subscription
Certain subscriptions include monthly credits allocated at each billing period. These monthly credits:
- are renewed at each billing period;
- do not roll over from one period to the next;
- are consumed first according to the order defined in Article 7.3.
In the event of an immediate upgrade, the remaining monthly credits of the previous plan may expire and the monthly credits of the new plan may be allocated immediately according to the applicable product rules, as displayed at the time of the action.
In the event of a scheduled downgrade or cancellation, the monthly credits of the current plan remain subject to the rules of the active plan until the end of the period, after which the rules of the new plan or the absence of a subscription apply.
Article 7 — credits
7.1 Purchase of credits
The purchase of credits is made in currency via Stripe when this option is offered.
After payment validation, the credits are credited to the user’s wallet according to the purchased pack.
Before any purchase of credits, the user is invited to:
- select a pack and review the price / quantity summary;
- check a first box confirming acceptance of these Terms of Sale;
- check a second box confirming the request for immediate access to the digital content and acknowledgment of the loss of the right of withdrawal where permitted by law.
The “Order with obligation to pay” button is disabled until both boxes are checked.
7.2 Rules according to the origin of credits
The rules applicable to credits vary depending on their origin:
- Purchased credits: available in the wallet without an expiry date.
- Welcome credits: available in the wallet without an expiry date.
- credits granted by Yelinka: may be subject to specific conditions specified at the time they are granted.
- Monthly credits included in a subscription: renewed at each billing period and not carried over from one period to the next.
7.3 Order of consumption of credits
For each use of credits, Yelinka applies the following priority order:
- monthly credits included in the current subscription;
- credits granted by Yelinka;
- welcome credits;
- purchased credits.
7.4 Non-convertibility and non-transferability
credits are not convertible into real money. They are not transferable between users. They may only be used within Yelinka.
They do not constitute electronic money, an external payment instrument, a security or an exchangeable digital asset.
7.5 Non-refundability
Purchased credits are non-refundable, except in the event of valid exercise of a legal right of withdrawal where it has not been validly waived, proven error or legal obligation to the contrary.
Uses of credits are final and non-refundable, except in the event of proven error or legal obligation to the contrary.
Article 8 — Right of withdrawal
8.1 Digital products, features or content purchased in currency
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for digital content not supplied on a physical medium where performance has begun with the consumer’s prior express consent and express waiver of their right of withdrawal.
For any purchase in currency of credits, a digital product or an internal feature that is immediately accessible or consumable, the user is invited before payment to:
- expressly request immediate access or performance;
- expressly acknowledge the loss of their right of withdrawal where permitted by law.
This consent is collected through a mandatory, unchecked checkbox, separate from acceptance of the Terms of Sale.
8.2 Use of credits
The use of credits to activate, consume or unlock a feature, product or internal action constitutes an internal transaction and does not give rise to a new right of withdrawal at the time of use.
Before any use of credits, the application displays the following information: available balance before use, amount debited, and the final and non-refundable nature of the transaction, except where required by law or in the event of a proven error.
8.3 Subscriptions
When the user subscribes to a subscription as a consumer, they in principle have a statutory withdrawal period of fourteen (14) days from the date of subscription, under the conditions provided by the French Consumer Code.
The user is informed that access to the Service is opened immediately after confirmation of the subscription.
In the event of valid exercise of the right of withdrawal after the service has begun to be performed, Yelinka will refund the user the amount paid, after deduction of an amount proportional to the service provided until the user communicates their decision to withdraw, in accordance with Article L.221-25 of the French Consumer Code.
A user wishing to exercise their right of withdrawal must contact Yelinka at contact@yelinka.com within the applicable statutory time limits.
The right of withdrawal does not apply to customers acting exclusively for professional purposes where the legal conditions for the application of consumer law are not met.
Article 9 — Liability
9.1 Limitation of liability
Yelinka is a management and structuring tool. It does not guarantee any result in terms of booking, visibility, income or artistic success.
Yelinka is not an artist agent, producer, event organizer, artist marketplace or contractual intermediary in agreements concluded between users.
Yelinka is not responsible for:
- content published by users;
- agreements concluded between users, including between artists and organizers;
- the actual performance of a concert;
- payment of a fee;
- declarative information entered by users in the Service.
Yelinka’s liability is limited to proven direct damages, within the limit of the amounts actually paid by the user to Yelinka during the twelve (12) months preceding the occurrence of the damage, unless otherwise required by law.
9.2 Exclusion of indirect damages
Yelinka may not be held liable for indirect damages, including:
- loss of opportunity;
- loss of revenue;
- loss of booking;
- damage to reputation;
- loss of data not directly attributable to Yelinka.
9.3 Dependence on third parties
Yelinka uses third-party providers to provide the Service, including Stripe for payment processing. Yelinka may not be held liable for interruptions, malfunctions or errors attributable to such providers.
Article 10 — Suspension, termination and account deletion
Yelinka reserves the right to suspend, restrict or terminate a user’s access to the Service, without notice in the most serious cases, including in the event of:
- publication of illegal content;
- fraud or attempted fraud;
- abuse of the Service;
- attempted circumvention of the Service’s rules;
- breach of the security of the Service or of other users;
- non-payment;
- use of the Service contrary to its purpose.
The user may request deletion of their account at any time.
Deletion is carried out under the conditions provided in Yelinka’s Privacy Policy, in compliance with applicable legal retention obligations, in particular regarding billing data and histories necessary for contractual evidence.
Account deletion may result in the loss of access to features, content, histories, assets or credits attached to the account, subject to applicable legal obligations and the retention rules provided by Yelinka.
Article 11 — Intellectual property
Yelinka and all its components, including interfaces, features, editorial content, graphic elements, trademarks, logos, databases and methods implemented by Yelinka, are protected by intellectual property law.
Content, files, media, documents, information and assets published, entered or stored by the user in the Service remain the property of the user or their respective rights holders.
The user guarantees that they have the necessary rights and authorizations for the content, files, media, documents, information and assets that they publish, enter, store, share or use in the Service.
The user grants Yelinka a non-exclusive, limited, free and worldwide license to host, store, display, technically reproduce, technically adapt and distribute such content and assets strictly for the provision of the Service.
This license allows in particular:
- hosting and storage of content and assets;
- public display when the user publishes a presskit or makes content public;
- sharing with recipients chosen by the user, including bookers, organizers or project team members;
- technical reproductions and adaptations necessary for the operation of the Service.
This license ends when the relevant content is deleted from the Service, subject to technical backup periods, legal retention obligations and elements necessary for contractual evidence.
Article 12 — Personal data
The processing of users’ personal data is governed by Yelinka’s Privacy Policy, available on the Service and constituting a separate document from these Terms of Sale.
Article 12 bis — Evidence agreement
The parties agree that electronic exchanges, order history, consent records, technical logs, Stripe events, wallet records and data stored in Yelinka systems may be used as evidence between the parties, unless proven otherwise.
The user acknowledges that checkboxes, validations, payment confirmations, subscription history and technical records associated with operations performed in the Service may establish proof of their actions, orders, acceptances and consents.
Article 13 — Changes to the Terms of Sale
Yelinka reserves the right to modify these Terms of Sale at any time.
Users are informed of any significant change by any appropriate means.
The Terms of Sale applicable to a one-time purchase are those in force at the time of purchase.
For ongoing subscriptions, the new Terms of Sale may apply to future periods after the user has been informed, unless the subscription is cancelled before they enter into force where such option is provided for or required by law.
Article 14 — Mediation and dispute resolution
In the event of a dispute relating to the application of these Terms of Sale, the user is invited to first contact Yelinka at contact@yelinka.com in order to seek an amicable solution.
When the user acts as a consumer, they may use a consumer mediator free of charge under the conditions provided by the French Consumer Code, provided that they have first submitted a written complaint to Yelinka and that such complaint has not resolved the dispute.

The mediation request must be submitted within a maximum period of one year from the written complaint sent to Yelinka.
Consumer mediation does not apply to disputes between professionals, proceedings brought by a professional against a consumer, or disputes already examined or being examined by another dispute resolution body.
For consumers residing outside France, any mandatory rights applicable in their country of residence remain applicable where provided by law.
Failing amicable resolution, any dispute relating to these Terms of Sale shall be submitted to the competent courts under the ordinary rules of law.
Article 15 — Governing law
These Terms of Sale are governed by French law, without prejudice to mandatory protective provisions applicable to consumers residing in another country where such provisions apply.
